The need for properly prepared standard agreements and Terms and Conditions should not be underestimated. Often when meeting clients for the first time we are told either that they do not have any standard agreements (and thus their contractual relationship with customers and suppliers will be governed by the customers’ or suppliers’ terms and conditions) or that their standard Terms and Conditions were prepared many years ago by a former employee in their sales department and which were almost certainly copied from someone else’s’ terms and conditions without giving any thought whether they were suitable. In either case a business in such position is unlikely to be adequately protected which may prove costly in the event of something going wrong or a dispute or claim arising.
